NOTICE OF 138th ANNUAL GENERAL MEETING
Notice is hereby given that the Annual General Meeting (AGM) of the Members of Richmond Football Club Ltd (Club) will be held at 5.30pm (AEDT) on Monday 19 December 2022.
Members can either:
• attend the AGM in person at the Swinburne Centre at Punt Road Oval, Richmond Victoria; or
• access and watch the AGM in a virtual format using their computer or mobile device by entering the following URL in their browser:
https://richmondfcagm.hippomedia.net.au
Members will then need to enter their 7-digit membership number and press login to access the viewing page.
Members, who are accessing the AGM virtually, will have the opportunity to ask questions during the AGM in respect of the items of business listed, as well as any general questions in respect to the Club. To ask a question, please type your question into the Q & A box on the right-hand side of the screen, and once this has been approved by the moderator it will be published, to be answered. Members may also submit questions in advance of the meeting by emailing Michael Stahl (Company Secretary) at mstahl@richmondfc.com.au.

1. Annual Report and Auditor’s Report
To receive and consider the Annual Report and the Independent Auditor’s Report for the year ended 31 October 2022.
2. Declaration of the results of the election of two Directors of the Club
3. Recognition of Club Award winners
4. Recognition of Life Members
Other Business
Any other business that may be brought forward in accordance with the Club’s Constitution and the Corporations Act 2001.

Voting entitlements
Under the Constitution of the Club, all members entitled to vote must have been a financial member of the Club for the 2022 year, by 31st day of August 2022.
How to vote / proxies
If voting online, please click on the “yes” or “no” box in the Q & A window and your vote will be counted.
If you are unable to attend the meeting and would like to appoint a proxy to vote on your behalf, please call 03 9426 4411 and request a proxy form.
Proxies must be addressed to Nicki Crivari at the Richmond Football Club and returned either:
• by email at ncrivari@richmondfc.com.au
• by post to Richmond Football Club, PO Box 48, Richmond VIC 3121
• in person to Richmond Football Club, Punt Road Oval, Richmond VIC 3121
Note: for all appointments of proxies:
• Each ordinary member, who is unable to attend the meeting, has the right to appoint a proxy.
• Your proxy need not be a member of the Club. You may appoint the Chair.
• For the appointment to be effective, it must be received no later than 5.30pm (AEDT) on 17 December 2022.
Under the Constitution any proxy received after this time will not be valid.
